Module summary
The module will enable students to study areas of corporate law given scant or no attention in an introductory company law course. It will consider a number of the primary contemporary issues and problems extant in corporate finance law and securities regulation and possible solutions and reforms. Through ten intense seminars, the module is proposing to enable students to look at legal issues in these two important fields critically. In detail, the module will evaluate issues selected from the following: share capital, loan capital, protection of creditors, creditors' rating agencies, public offering of shares, inside dealing and relatively more current issues such as the financial crisis 2008 and corporate law.Objectives
The module aims to:- lead students to an advanced knowledge of corporate law, focusing on corporate finance law and securities regulations;
- develop students critical knowledge on securities, market regulation and its objectives;
- provide advanced instructions in specific aspects of securities market regulation and corporate finance law.
Learning outcomes
On completion of this module, students should be able to:
- explain some of the contemporary issue and problems in corporate finance law and securities regulation;
- discuss how these issues and problems fit into corporate law generally;
- identify matters that warrant reform and to be able to discuss the kinds of reforms needed;
- critically analyse basic securities regulation concept such as market abuse, insider dealing, disclosure and authorisation;
- critically discuss regulatory aspects of concepts such as credit rating agencies and public offering of shares;
- evaluate the notion of systemic risk in securities market and the purpose of regulation following events related to the financial crisis 2008.
