Module summary

This module introduces the fundamental legal principles governing formation, modification, misrepresentation, and contract terms. It aims to prepare students for further study of advanced topics on performance, breach and remedies in English contract law.

Objectives

By the end of this module, students are expected to demonstrate, with proper reference to case law and statutes, a basic understanding of the general legal principles governing formation, modification, misrepresentation and contract terms in English contract law.

Learning outcomes
By completion of this module, students are expected to be able to

1. Understand the key legal principles in English contract law governing formation, modification, misrepresentation, and contract terms

2. Identify primary sources of a legal principle

3. By reference to relevant case law or statutes, explain the legal principles

Skills outcomes
By completion of this module, the students are expected to demonstrate

1. the basic skill in finding proper legal sources of a fundamental legal principle

2. by reference to proper case law or statutes, explain and discussing the legal principles

3. judging the correctness of a statement of legal principle

Syllabus

This module provides students with an introduction to the core concepts and legal elements that are essential to understanding English contract law. It provides a grounding in the following areas:

Introduction to contract law

Offer and acceptance

Intention to create legal relations

Doctrine of considerations

Modification of contract

Misrepresentation

Terms and representation

Implied terms and express terms

Exclusion clauses

The grounding students obtain in these topics will prepare them for the 20 credit LAW1034 English Contract Law 2 module where they will progress their understanding of contract law by learning about key legal issues that may arise at a later stage in the contractual process. Taken together, these modules provide students with an over-arching, comprehensive understanding of the process of creating a contract and how disputes are resolved.
