Module summary
This module covers the sale of goods, both business to business and business to consumer. The broader emphasis is on "commercial" transactions rather than "consumer" ones, though much of the law is of course common to both. The module will provide an examination of elements that are necessary to fully understand the nature of commercial sales, namely standard trade terms, bills of lading and payments methods such as letters of credit. It will also cover consumer protection issues that arise in relation to the sale of goods to consumers. Consumer sales constitute a large proportion of sales transactions and are an essential element to retail markets. This is a 20 credit module which runs across both semesters, totalling 20 lectures and seven seminars.Objectives
On completion of this module, students should be able to:- demonstrate a critical knowledge of the legal context of commercial sale of goods and business to consumer sales;
-demonstrate knowledge, and ability to assess, potential liabilities that may arise as a result of a sales transaction
-identify and evaluate the rules that govern the payments methods in relation to commercial sales transactions
- analyse practical problems relating to these areas;
Syllabus
Commercial Sales ( Business to business)
Key features of commercial sales; aspects of personal property law; the passing of property of goods and risk; conflict of title and agency; implied terms; trade terms; bills of lading; letters of credit; other payments methods and remedies ( both buyer and seller)
Consumer Sales ( Business to Consumer)
Key features of consumer sales; overview of regulation and the impact of both European legislation and the Consumer Rights Act 2015; unfair terms and exclusion clauses; unfair commercial practices; pre-contract requirements; rights to cancel; remedies; product liability.
