Module summary

This 10 credit module provides an introduction to the law relating to public and private companies and their directors, shareholders and contractual counterparties.- This module is taught by lectures and seminars in semester 2- Assessment is by two 1,500 word essays.

Objectives

On completion of this module students will have:
1. identified the significant primary sources of company law
2. considered the doctrine of precedent and its application to legal problem solving
3. gained knowledge of some practically significant areas of company law
4. learnt and practiced a technique of legal problem solving in relation to factual scenarios involving companies and their directors, shareholders and contractual counterparties.

1. primary sources of company law (statutes and case law) and the doctrine of precedent
2. company formation and corporate personality
3. the company constitution and its effect
4. corporate finance and its constraints
5. directors duties and their enforcement
6. shareholder remedies
7. research using a legal database
8. an approach to legal problem solving.
