Undergraduate Company Law in a common law country. If the law of the country is not based on common law system then students must select LAW5550M Corporate Law as a co or pre-requisite.

Module summary

This module will analyse how the law affects the financing options of the corporation. The limited company is a predominant business model in the modern economy because of its facility in raising finance while coordinating conflicts among its varied stakeholders. A better understanding of how companies can raise money and these procedures are regulated is central to understanding their role and governance. The module will introduce core elements of the modern corporation, such as limited liability and transferable shares, and capital structure theories. We will then evaluate the rules applicable to when a company raises equity or debt capital before covering securities regulation and market misconduct. The module will also consider the legal issues associated with market misconduct, takeovers, and private equity, before concluding by analysing new trends in digital and sustainable finance. The module’s primary focus is on UK law and regulation. Nevertheless, it will also draw on other relevant jurisdictions, such as the EU and US. The module aims to lead students to possess advanced and critical knowledge of corporate finance law and securities regulation.

Objectives

The module aims to:
- lead students to an advanced knowledge of corporate law, focusing on corporate finance law and securities regulations;
- develop students critical knowledge on securities, market regulation and its objectives;
- provide advanced instructions in specific aspects of securities market regulation and corporate finance law.

Learning outcomes
On completion of this course, you should be able to:
• understand the purpose of essential legal elements related to corporate finance;
• the rationale behind the laws governing how companies raise finance;
• navigate contemporary issues in securities regulation, market misconduct, and sustainable finance;
• evaluate the appropriateness and effectiveness of existing corporate finance laws and regulations critically;
• deliver a substantial piece of academic research reflecting some of the above objectives.
